These Terms of Service ("Terms") govern your access to and use of Termin.world, including our website, web application, Telegram Bot, future mobile applications and related services and features (together, the "Service").

1. Who we are

The Service is operated by Termin LLP, trading as Termin.world ("Termin", "we", "us" or "our").

Termin LLP is a limited liability partnership registered in England and Wales under registration number OC461119.

2. Acceptance of these Terms

By creating an account, purchasing a subscription or otherwise using the Service, you agree to these Terms.

You must read our Privacy Policy, which explains how we process personal information. Our Cookie Policy explains how we use cookies and similar technologies.

The Privacy Policy is provided for transparency and is not treated as consent to every processing activity described in it.

If you do not agree to these Terms, you must not create an account, purchase a subscription or use the Service.

Nothing in these Terms limits any mandatory consumer rights that apply to you.

3. Eligibility

You must be at least 16 years old to create an individual Termin account.

If you are between 16 and 18 years old, you confirm that you have permission from a parent or legal guardian where such permission is required by applicable law.

Termin is not deliberately directed at children under 16. Users under 16 may use Termin only under a separate arrangement with a school, parent, guardian or other responsible organisation approved by Termin.

School and institutional access may be governed by a separate agreement between Termin and the relevant school or organisation.

You must not provide false information about your age or identity.

4. The Service

Termin provides digital tools for creating, organising, sharing and practising vocabulary.

Depending on the features available and your subscription plan, the Service may allow you to:

  • create personal dictionaries;
  • add words, phrases, translations, definitions, synonyms, notes and example sentences;
  • use flashcards, tests and learning exercises;
  • receive vocabulary recommendations;
  • import vocabulary manually, from files or through optical character recognition;
  • use automatic translation and AI-assisted language features;
  • make dictionaries public or share them privately;
  • access dictionaries published by other users;
  • receive tests or learning activities through the Termin Telegram Bot;
  • monitor learning activity and progress;
  • use other language-learning features introduced by Termin.

Termin is a supplementary educational tool. We do not guarantee a particular examination result, language level or learning outcome.

5. Accounts

You must provide accurate and current information when creating and maintaining an account.

You are responsible for:

  • keeping your login credentials secure;
  • restricting access to your account and devices;
  • notifying us promptly if you suspect unauthorised access;
  • activity conducted through your account, except where it results from our failure to use reasonable care.

You may be able to register or sign in through Google, Apple, Telegram or another third-party provider. Your use of those services is also subject to the provider's own terms and privacy notice.

You must not:

  • impersonate another person;
  • create an account using false or misleading details;
  • create accounts through unauthorised automated means;
  • sell or transfer your account;
  • allow another person to use an individual paid subscription as their own.

6. Free plan

Termin may offer a free plan providing access to selected features.

Free features may be subject to limits relating to:

  • the number of dictionaries or words;
  • imports;
  • AI-assisted functions;
  • tests or learning activities;
  • public or shared content;
  • other usage limits displayed in the Service.

We may reasonably change free features and limits. We will not charge you merely because a free-plan limit changes. You must actively select and confirm a paid subscription before charges begin.

7. PRO subscription

Termin PRO provides access to additional features and higher or unlimited usage limits, as described on the pricing page and at checkout.

Our standard subscription options are:

  • Monthly PRO: EUR 5.99 per month
  • Annual PRO: EUR 44.99 per year

The final price, currency, billing frequency, trial terms and applicable taxes will be clearly displayed before purchase.

The information displayed at checkout takes priority where it identifies a valid promotional price or discount.

8. Seven-day free trial

Eligible users receive a seven-day free trial when starting a standard PRO subscription, unless a particular offer clearly states otherwise.

Before you start the trial, we will tell you:

  • how long the trial lasts;
  • which plan you selected;
  • the price that applies after the trial;
  • the date on which the first payment is expected;
  • how frequently the subscription will renew;
  • how to cancel.

A valid payment method may be required. PRO access begins immediately after enrollment.

Unless you cancel before the end of the trial, the trial automatically converts into the selected paid subscription and your payment method will be charged.

Trial eligibility may be limited to one trial per person, account, household, device or payment method. We may cancel duplicate or fraudulently obtained trials.

We will provide trial-ending reminders where required by applicable law.

9. Immediate access and statutory cancellation rights

Where you purchase a subscription online, you may have a statutory right to cancel the contract, including a possible 14-day cancellation period under UK or European consumer law.

Because PRO access is supplied immediately, we may ask you at checkout to expressly request that the Service begins during the statutory cancellation period.

Where permitted by law, if you cancel after requesting immediate access, we may deduct an amount proportionate to the Service provided before you informed us of the cancellation.

Where a feature constitutes digital content rather than an ongoing service, we may request the separate express consent and acknowledgement required by law before supplying that content immediately.

Nothing in these Terms removes any statutory cancellation, refund, repair, repeat-performance, price-reduction or other consumer right.

To exercise a statutory cancellation right, contact privacy@termin.world and clearly state that you wish to cancel the contract. You may use the model cancellation form at the end of these Terms, but you are not required to do so.

10. Payment processing

Web payments are initially processed through Stripe.

When mobile applications become available, subscriptions may also be offered through Apple App Store or Google Play in-app purchases.

By entering payment details and confirming a purchase, you authorise Termin and the relevant payment provider to charge:

  • the subscription price shown at checkout;
  • applicable taxes;
  • subsequent recurring subscription payments.

Termin does not directly store complete payment-card numbers.

Stripe, Apple, Google and other payment providers process payment information under their respective terms and privacy notices.

You must have authority to use the payment method selected at checkout.

11. Automatic renewal

Paid subscriptions automatically renew unless cancelled before the next renewal takes effect.

Monthly subscriptions renew each month. Annual subscriptions renew each year.

The applicable subscription fee and taxes will be charged to the payment method associated with your subscription.

We will provide renewal notices and reminders where required by law.

12. Cancellation

You may cancel a web subscription through:

  • your Termin account settings;
  • the Stripe subscription-management page made available to you;
  • contacting us at billing@termin.world.

Cancellation prevents future renewals.

Unless applicable law requires otherwise, you will retain PRO access until the end of the trial or paid billing period.

Deleting the application, closing the website or stopping use of Termin does not by itself cancel a subscription.

Subscriptions purchased through Apple App Store or Google Play must normally be cancelled through the relevant store account.

We will not intentionally make online cancellation materially more difficult than online subscription.

13. Refunds

Nothing in this section limits your statutory rights.

A refund may be provided where:

  • applicable consumer law requires it;
  • the Service was not supplied with reasonable care and skill;
  • the Service was materially defective or substantially different from its description;
  • you were charged incorrectly;
  • an unauthorised charge occurred;
  • Termin expressly agrees to provide a refund.

Outside these circumstances, subscription fees are generally non-refundable for a billing period that has already begun.

Stopping use of the Service without cancelling the subscription does not automatically create a right to a refund.

Refund requests must be sent to privacy@termin.world with enough information to identify the account and transaction.

Refunds for Apple App Store or Google Play purchases may be administered by the relevant store under its own processes.

14. Price changes

We may change subscription prices.

A price change will not retrospectively alter a billing period that has already been paid.

We will provide reasonable advance notice before applying a higher price to a future renewal. Where required by law, we will request your agreement or allow you to cancel before the new price applies.

15. Promotions and referral programmes

Termin may introduce:

  • limited-time discounts;
  • referral rewards;
  • free subscription months;
  • promotional codes;
  • affiliate campaigns;
  • offers such as rewards for referring a specified number of paying PRO users.

Each promotion may have additional eligibility, duration and reward conditions presented with the offer.

Promotions may:

  • be limited by country, account, payment method or subscription plan;
  • be available for a limited period;
  • be limited to new or eligible users;
  • exclude refunds, cancelled purchases, fraudulent purchases or self-referrals;
  • be non-transferable and not redeemable for cash;
  • be withdrawn where misuse or manipulation is reasonably suspected.

Where a referrer or affiliate receives compensation or another benefit, Termin will provide or require an appropriate disclosure.

16. School and organisational plans

Subscriptions for schools, teacher groups, employers and other organisations are arranged directly with Termin.

They may be governed by:

  • a separate services agreement;
  • organisation-specific pricing;
  • a data processing agreement;
  • additional student, administrator and safeguarding provisions.

These consumer Terms do not override a separately signed organisation agreement.

17. User Content

"User Content" means dictionaries, words, translations, definitions, notes, phrases, sentences, images, files and other content that you submit, create, import or store through Termin.

You retain ownership of your User Content.

You grant Termin a worldwide, non-exclusive and royalty-free licence to host, reproduce, process, adapt, transmit and display User Content only as reasonably necessary to:

  • operate the Service;
  • provide functions requested by you;
  • synchronise and back up content;
  • process imports and OCR requests;
  • produce requested translations, examples and exercises;
  • provide AI-assisted features;
  • display content according to your sharing settings;
  • detect abuse or security problems;
  • comply with legal obligations.

This licence ends when the relevant User Content is deleted from our active systems, subject to backup periods, content copied by other users and information we must retain by law.

You confirm that you have the necessary rights to submit User Content.

18. Public and private sharing

Termin may allow you to:

  • keep a dictionary private;
  • privately share a dictionary with selected people or through a restricted link;
  • publish a dictionary for access by other users or the public.

You are responsible for selecting the appropriate sharing option.

When you publish User Content, you grant Termin a non-exclusive licence to display, distribute and make it available through the Service until you remove it or change its visibility.

Other users may save or copy content made available to them. Copies already saved by another user may remain in that user's account after you remove the original.

Do not include confidential, sensitive or unnecessary personal information in public or shared dictionaries.

19. AI-generated and automated content

Termin uses the OpenAI API and may use other automated tools to provide features such as:

  • definitions;
  • translations;
  • synonyms;
  • example phrases and sentences;
  • dictionary notes;
  • exercises;
  • recommendations;
  • classification and processing of imported content.

Automated output may be inaccurate, incomplete, outdated, offensive or unsuitable for a particular context.

You are responsible for reviewing important output before relying on it.

Automated content is provided for educational assistance and must not be relied upon as legal, medical, financial, immigration, safety or other professional advice.

20. Acceptable use

You must not:

  • use the Service unlawfully or fraudulently;
  • infringe intellectual-property, privacy or other legal rights;
  • upload malware or malicious code;
  • attempt to gain unauthorised access to systems, accounts or data;
  • interfere with the security or availability of the Service;
  • scrape or systematically extract content except where expressly permitted by law;
  • bypass usage, subscription or security restrictions;
  • reverse engineer the Service except where applicable law expressly permits it;
  • use automated systems in a way that creates excessive load;
  • use an individual plan to provide commercial access to other people;
  • publish unlawful, threatening, hateful or abusive content;
  • submit content that you do not have the right to process;
  • use Termin data or output to build or train a competing general-purpose model or service without our written permission.

We may use reasonable technical measures to prevent abuse.

21. Termin intellectual property

The Service, including its software, interface, branding, design, original materials and documentation, is owned by or licensed to Termin.

We grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.

No other rights are granted.

22. Third-party services

Termin integrates with services operated by third parties, including Google, DigitalOcean, OpenAI, Stripe, Telegram and, when the mobile applications become available, Apple and Google Play.

Third-party platforms may have their own terms and privacy notices.

We are not responsible for services independently provided by those third parties. This does not exclude responsibility that applicable law places on Termin for service providers processing information on our behalf.

23. Service availability and changes

We aim to provide a reliable Service but cannot guarantee uninterrupted or error-free availability.

Access may be interrupted because of:

  • maintenance;
  • updates;
  • security incidents;
  • infrastructure or internet failures;
  • third-party provider outages;
  • legal requirements;
  • events outside our reasonable control.

We may add, change or discontinue features.

Where a change materially reduces a paid Service, we will provide reasonable notice where practicable and respect applicable consumer rights.

24. Suspension and termination

We may suspend or terminate access where reasonably necessary because:

  • you materially or repeatedly breach these Terms;
  • your use creates a legal, security or operational risk;
  • payment remains overdue;
  • fraud or abuse is reasonably suspected;
  • we are legally required to do so;
  • the Service is discontinued.

Where appropriate, we will provide notice and a reasonable opportunity to correct the issue.

You may stop using Termin and request account deletion at any time.

25. Liability

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of rights that cannot legally be excluded;
  • any other liability that applicable law prohibits us from limiting.

If you are a consumer, Termin is responsible for loss or damage that is a reasonably foreseeable result of our breach of these Terms or failure to use reasonable care and skill.

Termin is not responsible for loss that was not reasonably foreseeable when the contract was formed.

Termin is not responsible for business losses suffered by a consumer using the Service primarily for personal purposes.

To the maximum extent permitted by law, Termin's total liability arising from the Service will not exceed the greater of:

  • GBP 100; or
  • the subscription fees you paid to Termin during the 12 months preceding the event giving rise to the claim.

This limitation does not apply where it would conflict with mandatory law.

26. Changes to these Terms

We may update these Terms to reflect changes in:

  • the Service;
  • our business;
  • applicable laws or regulatory guidance;
  • subscription arrangements;
  • third-party services;
  • security requirements.

We will provide reasonable notice of material changes.

Where applicable law requires your express agreement, we will request it before the relevant change takes effect.

27. Governing law and disputes

These Terms are governed by the laws of England and Wales.

If you are a consumer living elsewhere, you retain any mandatory consumer protections available under the laws of your country of residence.

The courts of England and Wales will have jurisdiction, but consumers may also be entitled to bring proceedings in the courts of the country where they live.
